1. Acceptance of Terms

By accessing or using any services provided by IQIUU Research Ltd. ("IQIUU", "we", "us", or "our"), including our website, API, chat interface, playground, and any associated tools or platforms (collectively, the "Services"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Services.

Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Description of Services

IQIUU operates a frontier AI research platform that provides:

• AI research tools and experimental model access
• API access for programmatic interaction with IQIUU models
• A chat interface for conversational AI interaction
• A playground environment for testing and experimentation
• Research publications, documentation, and related materials

The Services are provided on an "as-is" basis. We reserve the right to modify, suspend, or discontinue any part of the Services at any time without prior notice.

3. Account & Access

Access to certain features of the Services may require an account. You may be granted access through invite codes, API keys, or other authentication mechanisms provided by IQIUU.

• You are responsible for maintaining the confidentiality of your credentials, including invite codes and API keys.
• You must not share, sell, or transfer your access credentials to any third party.
• You are responsible for all activity that occurs under your account.
• We reserve the right to revoke access at any time, with or without cause.

4. Acceptable Use

You agree not to use the Services to:

• Engage in any illegal, fraudulent, or harmful activity.
• Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of any IQIUU model or system.
• Use outputs generated by IQIUU models to train, fine-tune, distill, or otherwise develop competing AI models or systems.
• Attempt to circumvent rate limits, access controls, or other security measures.
• Transmit malware, viruses, or any other harmful code through the Services.
• Harass, abuse, or harm other users or IQIUU personnel.
• Use the Services in any manner that could damage, disable, or impair our infrastructure.

5. Intellectual Property

All IQIUU models, research, methodologies, concepts, architectures, and associated intellectual property are the exclusive property of IQIUU Research Ltd. This includes, but is not limited to:

• Recursive Meta-Attention (RMA)
• Temporal Intent Graphs (TIG)
• Weighted Memory Sharding (WMS)
• All proprietary model weights, training procedures, and evaluation frameworks

No license, right, or interest in any IQIUU intellectual property is granted except as expressly set forth in these Terms or in a separate written agreement.

Content you submit to the Services remains yours. By submitting content, you grant IQIUU a non-exclusive, worldwide license to use such content solely for the purpose of providing and improving the Services.

6. API Usage

If you are granted API access, you agree to the following:

• You will comply with all published rate limits and usage quotas.
• You will use the API in a fair and reasonable manner, avoiding excessive or abusive request patterns.
• You will not resell, sublicense, or redistribute API access or outputs to third parties without prior written consent from IQIUU.
• IQIUU reserves the right to throttle, suspend, or terminate your API access if usage is deemed excessive or in violation of these Terms.

7. Privacy

Your use of the Services is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal information. By using the Services, you consent to the practices described in our Privacy Policy.

8. Data & Security

We take the security of your data seriously:

• All data is encrypted at rest using industry-standard encryption methods.
• We implement appropriate technical and organizational measures to protect against unauthorized access, alteration, disclosure, or destruction of data.
• We comply with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

While we strive to protect your data, no method of electronic storage or transmission is 100% secure. You acknowledge and accept this inherent risk.

9. Limitation of Liability

To the maximum extent permitted by applicable law, IQIUU Research Ltd., its directors, officers, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or in connection with your use of the Services.

Our total aggregate liability for any claims arising from these Terms or your use of the Services shall not exceed the amount you have paid to IQIUU in the twelve (12) months preceding the claim.

10. Modifications

IQIUU reserves the right to modify these Terms at any time. Changes will be effective immediately upon posting to this page. We will update the "Last updated" date at the top of this document when changes are made.

It is your responsibility to review these Terms periodically. Material changes may be communicated via email or through the Services at our discretion.

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Any disputes arising under or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
